Privacy Policy
We at Grazr — “Grazr,” “we,” “us,” or “our”) have created this privacy policy (this “Privacy Policy”) because we know that you care about how information you provide to us is used and shared. This Privacy Policy relates to the information collection and use practices of Grazr in connection with our online services (the “Services”), which are made available to you through a variety of platforms, including our website https://www.grazr.net (the “Website”).
By visiting our Website and/or using our Services, you are agreeing to the terms of this Privacy Policy and the accompanying Terms of Service. Capitalized terms not defined in this Privacy Policy shall have the meaning set forth in our Terms of Service.
The Information We Collect
1) Personal Information
When you sign up (create an account or sign in via Facebook or Google authentication), bid on a cow share, enter a contest, promotion, or sweepstakes, or sign up to receive emails, SMSs or other notifications, you will be required to provide us with personal information about yourself (collectively, the “Personal Information”). Such Personal Information for Subscribers may include your name, e-mail address, mailing address, and phone number. We do not collect any Personal Information from you when you use the Services unless you provide us with the Personal Information voluntarily (directly or via Facebook or Google authentication.)
2) Billing Information
When you sign up and place a bid or order a product, you will be required to provide certain information in addition to the Personal Information noted above. Such information may include a debit card number, credit card number, and similar information (collectively, the “Billing Information”). All transactions are processed by our third-party payment vendors. We do not collect, store, or maintain any Billing Information. Instead, it is collected and processed through these third-party vendors pursuant to the terms and conditions of their privacy policies and terms of use.
3) Other Information
In addition to the Personal Information and the Billing Information noted above that you voluntarily provide to us, we may collect additional information (collectively, the “Other Information”). Such Other Information may include:
- From Your Activity. Information that we automatically collect when you use the Services, such as your IP addresses, browser type and language, referring and exit pages and URLs, date and time, amount of time spent on particular pages, what sections of the Website you visit, order information, and similar information concerning your use of the Services.
- From Cookies. Information that we collect using “cookie” technology. Cookies are small packets of data that a website stores on your computer’s hard drive so that your computer will “remember” information about your visit. We use cookies to help us collect Other Information and to enhance your experience using the Services. If you do not want the Platform to place a cookie on your hard drive or mobile device, you may be able to turn that feature off on your computer or mobile device. Please consult your Internet browser’s documentation for information on how to do this. However, if you decide not to accept cookies from us, the Services may not function properly.
- From You. Additional information about yourself that you voluntarily provide to us, such as your hobbies, personal interests, household income range, number of children, gender, demographic information, and product and service preferences.
- From Third-Party Web Beacons and Third-Party Buttons. We may display third-party content on the Website, including third-party advertising. Third-party content may use cookies, web beacons, or other mechanisms for obtaining data in connection with your viewing of the third party content on the Website. Additionally, we may implement third party buttons (such as Facebook “like” or “share” buttons) that may function as web beacons even when you do not interact with the button. Information collected through third-party web beacons and buttons is collected directly by these third parties, not by Grazr. Information collected by a third party in this manner is subject to that third party’s own data collection, use, and disclosure policies.
- From Other Sources. Information that we collect or receive from other sources, such as our partners and advertisers.
The Information Collected by or Through Third-Party Advertising Companies
We may share Other Information about your activity on the Platform with third parties for the purpose of tailoring, analyzing, managing, reporting, and optimizing advertising you see on the Platform and elsewhere. These third parties may use cookies, pixel tags (also called web beacons or clear gifs), and/or other technologies to collect such Other Information for such purposes. Pixel tags enable us, and these third-party advertisers, to recognize a browser’s cookie when a browser visits the site on which the pixel tag is located in order to learn which advertisement brings a user to a given site.
Accessing and Modifying Personal Information and Communication Preferences
If you have registered for the Services, you may access, review, and make changes to your Personal Information and Billing Information by following the instructions found on the Platform. In addition, you may manage your receipt of marketing and non-transactional communications by clicking on the “unsubscribe” link located on the bottom of any Grazr marketing email. Subscribers cannot opt out of receiving transactional e-mails related to their account. We will use commercially reasonable efforts to process such requests in a timely manner. You should be aware, however, that it is not always possible to completely remove or modify information in our subscription databases.
How We Use and Share the Information
We use the Personal Information, the Billing Information, and the Other Information to process transactions; provide you the Services; solicit your feedback; inform you about our products, services, upcoming events, recipes, and special promotions and those of our third-party marketing partners; administer and process contests, promotions, and sweepstakes; and improve our Services to you. Also, we may share Personal Information, the Billing Information, and/or Other Information as described below.
- We employ other companies and individuals to perform functions on our behalf. Examples include food services, delivery services, marketing assistance, information technology support, and customer service. These other companies will have access to the Personal Information, the Billing Information, and the Other Information only as necessary to perform their functions and to the extent permitted by law.
- In order to administer our contests, promotions, and sweepstakes, we may share your Personal Information and Other Information with our third-party promotional and marketing partners.
- In an ongoing effort to better understand our users and our Services, we might analyze the Other Information in aggregate form in order to operate, maintain, manage, and improve the Services. This aggregate information does not identify you personally. We may share this aggregate data with our affiliates, agents, and business partners. We may also disclose aggregated user statistics in order to describe our products and Services to current and prospective business partners and to other third parties for other lawful purposes.
As we develop our business, we might sell or buy businesses or assets. In the event of a corporate sale, merger, reorganization, dissolution, or similar event, the Personal Information, the Billing Information, and the Other Information may be part of the transferred assets.
To the extent permitted by law, we may also disclose Personal Information, the Billing Information, and the Other Information when required by law, court order, or other government or law enforcement authority or regulatory agency, or whenever we believe that disclosing the such Information is necessary or advisable, for example, to protect the rights, property, or safety of Grazr or others.
How We Protect Your Information
We take commercially reasonable steps to protect the Personal Information, the Billing Information, and the Other Information from loss, misuse, and unauthorized access, disclosure, alteration, or destruction. Please understand, however, that no security system is impenetrable. We cannot guarantee the security of our databases, nor can we guarantee that the information you supply will not be intercepted while being transmitted to and from us over the Internet. In particular, e-mail sent to or from the Platform may not be secure, and you should therefore take special care in deciding what information you send to us via e-mail.
Important Notice to Non-U.S. Residents
The Platform and the Services are operated in the United States. If you are located outside of the United States, please be aware that any information you provide to us will be transferred to the United States. By using the Services and/or providing us with any information, you consent to this transfer.
Children
We do not knowingly collect Personal Information from children under the age of 13 through the Services. If you are under 13, please do not give us any Personal Information. We encourage parents and legal guardians to monitor their children’s Internet usage and to help enforce our Privacy Policy by instructing their children to never provide Personal Information through the Services without their permission. If you have reason to believe that a child under the age of 13 has provided Personal Information to us, please contact us, and we will endeavor to delete that information from our databases.
External Websites
The Platform may contain links to third-party websites. Grazr has no control over the privacy practices or the content of any of our business partners, advertisers, sponsors, or other websites to which we provide links. As such, we are not responsible for the content or the privacy policies of those third-party websites. You should check the applicable third-party privacy policy and terms of use when visiting any other websites.
Changes to This Privacy Policy
This Privacy Policy is effective as of the date stated at the top of this Privacy Policy. We may change this Privacy Policy from time to time, and will post any changes on the Platform as soon as they go into effect. By accessing the Platform or using the Services after we make any such changes to this Privacy Policy, you are deemed to have accepted such changes. Please refer back to this Privacy Policy on a regular basis.
Children’s Privacy
Protecting the privacy of young children is especially important. Our Site is a general audience site not directed to children under the age of 13, and we do not knowingly collect personal information from children under the age of 13 without obtaining parental consent.
International Visitors
The Service is hosted in the United States and is intended for visitors located within the United States. If you choose to use the Service from the European Union or other regions of the world with laws governing data collection and use that may differ from U.S. law, then please note that you are transferring your personal information outside of those regions to the United States for storage and processing. Also, we may transfer your data from the U.S. to other countries or regions in connection with storage and processing of data, fulfilling your requests, and operating the Service. By providing any information, including personal information, on or to the Service, you consent to such transfer, storage, and processing.
Terms of Service
(these “Terms”). These Terms govern your access to and use of the Grazr software platform, applications, and related services (collectively, the “Services”) provided by Grazr, Inc. (“Grazr,” “we,” “us,” or “our”). By clicking “I Accept” or by using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.
1. Eligibility
By using the Services, you represent and warrant that you:
- are at least 18 years of age;
- have the authority to enter into these Terms on behalf of the entity you represent (e.g., a butcher shop, meat processor, or similar business); and
- your use of the Services does not violate any applicable laws or regulations.
2.Account Registration
To access the Services, you must create a Grazr account. You agree to:
- provide accurate, current, and complete account information;
- maintain the security of your login credentials; and
- promptly notify Grazr of any unauthorized access or breach.
- License and Use of Services
Subject to your compliance with these Terms, Grazr grants you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for your internal business operations.
You may not resell, sublicense, reverse engineer, or otherwise misuse the Services.
Grazr retains all rights, title, and interest in the Services, including software, content, and trademarks.
- Subscription, Fees, and Payment
4.1 Subscriptions.
Access to the Services requires a paid subscription. Plans and pricing are described at the time of signup.
4.2 Payment Method.
By providing payment information, you authorize Grazr (or our payment processor) to charge your payment method for all subscription fees and applicable taxes.
4.3 Payment Obligation.
Subscriptions are billed in advance. Fees are non-refundable except as provided in Section 4.4.
4.4 15-Day Termination Window.
You may terminate your subscription within fifteen (15) calendar days of your initial payment by providing written notice to Grazr at Sales@grazr.net. If you terminate within this period, you will not be charged further subscription fees beyond amounts already paid.
4.5 Commitment and Cost Savings.
If you do not terminate within the 15-day period, you are obligated to pay all subscription fees for the agreed term. Any promotional or discounted annual pricing (“Cost Savings”) is contingent upon fulfillment of the full term. If you cancel early or fail to pay, you forfeit such Cost Savings and must pay Grazr the difference between the discounted price paid and the then-standard month-to-month rates.
4.6 Changes.
Grazr may change pricing for future subscription periods, with notice provided prior to renewal.
- Customer Data
5.1 Ownership.
You retain ownership of all data you upload or process through the Services (“Customer Data”).
5.2 License to Grazr.
You grant Grazr a limited license to use, process, store, and transmit Customer Data solely to provide and improve the Services.
5.3 Responsibility.
You are responsible for the accuracy, legality, and integrity of Customer Data.
- Confidentiality and Data Security
Grazr will maintain appropriate administrative, physical, and technical safeguards to protect Customer Data. We will not disclose Customer Data except as required by law or as necessary to provide the Services.
- Term and Termination
7.1 Term.
These Terms remain in effect for the duration of your subscription.
7.2 Termination by You.
You may terminate your subscription at any time after the Initial Termination Period, but remain obligated for all fees under Section 4.
7.3 Termination by Grazr.
Grazr may suspend or terminate your access for material breach, non-payment, or misuse of the Services.
7.4 Effect of Termination.
Upon termination, your license to use the Services ends, but Sections 4 (Payment), 5 (Customer Data), 6 (Confidentiality), and 9–12, and 14 survive termination.
- Service Availability
Grazr will use commercially reasonable efforts to make the Services available, excluding downtime for maintenance or events beyond our control.
- Disclaimer of Warranties
The Services are provided “as is” without warranties of any kind. Grazr disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
- Limitation of Liability
To the maximum extent permitted by law, Grazr’s liability shall not exceed the fees paid by you to Grazr in the twelve (12) months preceding the claim. Grazr is not liable for indirect, incidental, or consequential damages.
- Indemnification
You agree to indemnify and hold harmless Grazr from any claims arising out of your use of the Services, Customer Data, or violation of these Terms.
- Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Tennessee, excluding its conflict of law principles. Any disputes shall be resolved by binding arbitration as set forth in Section 18 of the prior Terms, unless otherwise prohibited by applicable law.
- Updates to the Services
Grazr may update, modify, or discontinue features of the Services from time to time. Core updates benefiting the Grazr community are included in subscription fees.
- Custom Development
14.1 Scope of Custom Development.
From time to time, you may request custom development or feature enhancements that are specific to your business and are not intended for the broader Grazr user community. Such custom development will be defined and documented in a Standard Operating Procedure (“SOP”) document prepared by Grazr, which will outline the scope, deliverables, and estimated effort required.
14.2 Statement of Work.
Once both parties agree in writing on the SOP, Grazr will prepare a Statement of Work (“SOW”) describing the final scope, development plan, fees, and payment terms. The SOW must be signed by both parties before any custom development begins.
14.3 Payment Terms.
Custom development fees are payable as follows: (a) seventy-five percent (75%) of the total project fee is due upfront upon execution of the SOW; and (b) the remaining twenty-five percent (25%) is due upon completion and delivery of the custom development, unless otherwise stated in the SOW.
14.4 Ownership.
Unless otherwise stated in the SOW, custom development created solely for your business will not be incorporated into Grazr’s general platform offering and will remain available only to you under the terms of the SOW. Grazr retains all intellectual property rights to underlying systems, code, and tools used in connection with such development.
- Miscellaneous
These Terms constitute the entire agreement between you and Grazr regarding the Services.
Grazr may update these Terms with notice; continued use constitutes acceptance.
If any provision is found unenforceable, the remainder shall remain in effect.
- SMS Messaging; Opt-In and Opt-Out (Twilio)
16.1 SMS Communications
As part of the Services, Grazr may enable and transmit transactional and service-related text messages (“SMS Messages”) using Twilio, Inc. as its messaging service provider. SMS Messages may include, but are not limited to, order updates, drop-off confirmations, cut sheet notifications, appointment reminders, payment notices, and account-related alerts.
16.2 Consent and Opt-In Requirements
By providing a mobile phone number to Grazr or through the Services, you expressly consent to receive SMS Messages related to your use of the Services.
You acknowledge and agree that:
- Explicit opt-in consent is required before any SMS Messages are sent.
- Consent must be obtained in compliance with the Telephone Consumer Protection Act (TCPA), CTIA Messaging Principles, and Twilio Messaging Policy.
- Consent may not be a condition of purchase.
- You may not send SMS Messages to numbers obtained through purchased, rented, or scraped lists.
For SMS Messages sent to your customers, you represent and warrant that:
- You have obtained valid, documented opt-in consent from each recipient;
- The consent clearly discloses the purpose and nature of the messages;
- Grazr is acting solely as a technology platform and does not control or originate customer-specific messaging content.
16.3 Opt-Out Instructions (Required)
All SMS Messages sent through the Services include opt-out instructions.
Recipients may opt out at any time by replying:
- STOP – to unsubscribe from future SMS Messages
Upon receipt of a STOP request:
- Messaging to that number will cease immediately, except for a single confirmation message;
- The opt-out status will be recorded and enforced automatically.
Recipients may re-opt-in by replying START or through a new consent action within the Services.
16.4 Message Frequency and Carrier Charges
Message frequency varies based on Service usage. Message and data rates may apply depending on the recipient’s mobile carrier. Grazr is not responsible for carrier fees, filtering, or delayed delivery.
16.5 Prohibited Use
You may not use the SMS functionality to send:
- Unsolicited messages (spam)
- Marketing messages without express written consent
- Content that is illegal, misleading, abusive, or deceptive
- Emergency alerts or life-safety communications
Grazr reserves the right to suspend or disable SMS capabilities for violations of this section or Twilio’s policies.
16.6 No Guaranteed Delivery
SMS delivery is subject to carrier availability and filtering. Grazr does not guarantee message delivery, timing, or receipt.
16.7 Compliance Responsibility and Indemnification
You are solely responsible for compliance with all applicable SMS laws and regulations. You agree to indemnify and hold harmless Grazr from any claims, fines, penalties, or damages arising from:
- Failure to obtain proper SMS consent;
- Messaging content you initiate;
- Violations of TCPA, CTIA guidelines, or Twilio Messaging Policy.
